Overview of Corporate Development and Communications Management Role:

We are currently seeking a Corporate Development and Communications professional to assist with various growth initiatives for the firm. Candidate will report directly to the COO and will be responsible for business planning and communications. Business planning and corporate development requires a strong execution-minded skillset, with experience in financial services. Communications side of the role includes developing relevant content, including experience managing social media presence across multiple channels.

Duties and Responsibilities:

  • Implement and document business processes, strategy and planning
  • Content creation and publication - including website, corporate presentations, and press releases
  • Monitoring analytics, drive traffic to website and social media sites; experience placing public search/ads
  • Build out and manage key relationships with relevant vendors and agencies

Qualifications and Skills:

  • 4-10 years of marketing/communications experience (agency, or in-house at a financial institution)
  • Experience with KPI measurement, online communications, and fostering communities
  • Excellent communication skills, both oral and written; strong interpersonal skills, including professionalism and judgment
  • Organized, problem-solver, with strong attention to detail
  • Direct experience with healthcare industry a plus

Transaction Counsel

Overview of Transaction Counsel Role:

We are currently seeking Transaction Counsel to provide advice on a broad range of legal and strategic matters critical to the operations and growth of our company. Candidate’s primary responsibility will be related to transactions for privately negotiated deals.

Duties and Responsibilities:

  • Draft and negotiate term sheets, deal documents, NDAs, service agreements, IP and data licensing agreements, employment agreements, etc.
  • Partner with investment personnel and outside counsel on deal-related matters
  • Assist with internal corporate governance matters as needed, including compliance framework
  • Maintain, negotiate, and improve vendor agreements

Qualifications and Skills:

  • J.D. with 3+ years of experience in securities law at a law firm and/or financial institution
  • Transactional expertise, including Reg D and Reg S private placements, privately negotiated securities (structured converts, warrants, bridge notes, etc.) as well as public underwritten offerings
  • Direct experience with capital markets, SPACs, cannabis/psychedelics regulatory environment also pluses
  • Excellent attention to detail and the tenacity to produce meticulous work product in a fast-paced, deal-driven environment
  • Proficient in legal, operational, and compliance related matters

Crossover Investor Role

We are seeking an experienced venture-crossover investor to join our team in NY. This candidate will report directly to the CEO and will be responsible for the entire process of sourcing, diligence, tracking, and executing potential new deals. Candidate must have expertise making crossover investments within biotech, specialty pharmaceuticals, clinical devices, and related areas. Candidate must also have a proven track record of success, including an extensive network of similar investors, club deals, and companies/issuers. You will benefit from our research and deal team to help assess opportunities, and with initial success may build a dedicated team and expand the business.

Duties and Responsibilities:

  • Generate deal flow
  • Lead diligence process, develop investment memos, make investment recommendations
  • Negotiate term sheets and investment documents

Qualifications and Skills:

  • Minimum of 10 years investing experience (at least 5 years in a crossover role within clinical healthcare)
  • Relevant experience/scientific knowledge within biotech preferred (experience in specialty pharma or clinical devices also acceptable)

Therapeutics Asset Development Role

We are seeking an experienced business development professional who will focus on therapeutics asset development - sourcing, diligence, tracking, and acquiring potential new assets for further development. Candidate must have expertise within biotech, specialty pharmaceuticals, clinical devices, and/or related areas

Duties and Responsibilities:

  • Source potential licensing/acquisition opportunities (preclinical/clinical, and academic/industry)
  • Due diligence process for all licensing opportunities
  • Develop new opportunities by networking with KOLs, physicians, researcher centers, universities, and industry colleagues
  • Pitch to senior management from scientific, medical and commercial perspectives
  • Valuation and negotiation process for proposed assets

Qualifications and Skills:

  • Minimum 10 years of pharma/biotech therapeutics and clinical development experience (additional Wall Street experience a plus)
  • Extensive network in the space (IP holders in pharma, universities, industry, KOLs, etc.)
  • Previous IP in-licensing and acquisition experience, including track record of structuring, negotiations and deal execution, and post-deal oversight
  • Strong project management skills (budgeting, retaining and directing consultants, working with CMOs and CROs, and managing timelines)

Biotech Pharma Specialist Role

We are seeking a healthcare analyst to support the team in our NY office. Candidate will research investment opportunities (both independently and in concert with existing research team), monitor companies/events, track market dynamics, and build financial models. Candidate must have healthcare investment research experience covering the mid-large cap biotech and pharma spaces.

Duties and Responsibilities:

  • Analyze investment opportunities; identify event path, expectations, and variant perception

WWe are seeking an associate to work with our current team. Candidate must have therapeutics venture capital experience. Additional experience within clinical device/biotech field is a plus. We are seeking a fundamental research associate to work with the existing MedTech PM on our team. Candidate must have life sciences investment research experience (buy-side or sell-side). Additional experience within clinical MedTech/Devices field is a plus.

We are seeking a short-focused fundamental research analyst to work with our existing investment team.  Candidate must have buy-side healthcare investment research experience, ideally within therapeutics. The candidate will recommend short investment opportunities, monitor companies/events, track market dynamics, build financial models, etc.

  • Identify short selling opportunities through fundamental analysis of mechanism of action, clinical data, regulatory path, competitive landscape, and market modelling/valuation including the preparation of memos, checklists, and financial/scientific due diligence

We are seeking a cryptocurrency expert who will identify high quality private companies seeking a path to the public markets through a crossover round to an IPO, or through an alternative public offering (reverse merger, direct listing, SPAC listing, etc). Candidate should be a self-starter with an established network in cryptocurrency private capital funding including companies, potential co-investors, etc.
